Terms of Service

1. Acceptance of Terms & Eligibility

By creating a Cosmos account, accessing a workspace, or using our client-facing portal, you agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations. These Terms represent a legally binding agreement between you and Cosmos Technologies Inc.

Age Requirement: You must be at least 18 years of age (or the legal age of majority in your jurisdiction) and fully competent to enter into these Terms. If you register on behalf of a company or commercial entity, you represent and warrant that you have full authority to bind that entity to these Terms.

2. Subscription, Billing, & Refunds

Cosmos provides software-as-a-service (SaaS) subscription tiers as detailed on our Pricing page:

• Billing Cycles: Paid subscriptions are billed on a recurring monthly or annual basis. Standard credit cards and authorized online payment instruments are processed securely by our integrated payment partners.
• Proration & Upgrades: Upgrades take effect immediately with prorated billing adjustments. Downgrades take effect upon the expiration of the current cycle.
• Cancellations & Refunds: You can cancel your subscription at any time. All cancellations, statutory 14-day EU/UK cooling-off rights, and refund rules are governed by our dedicated Refund & Cancellation Policy.

3. Workspace Manager Accountability & Client Portal Usage

As a workspace administrator or user:

• You are solely responsible for the authenticity and accuracy of business profiles, company tax details, banking numbers, and client data entered into the system.
• You are responsible for obtaining explicit client authorization before transmitting billing notices, contracts, and invite links via the client portal.
• You retain full ownership of all items, assets, logos, and invoices uploaded. Cosmos acts purely as a secure data processor for compiling PDFs, rendering portals, and routing communications.

4. Compliance with Tax and Invoicing Regulations

Our platform provides tax calculation tools for VAT, GST, Sales Tax, and custom tax profiles. However, it is your legal obligation to verify that the rates, tax identifiers (e.g. VAT / GSTIN / EIN), and tax invoice layouts applied match statutory requirements in your operating jurisdiction. Cosmos is not a certified tax auditing firm, and we disclaim liability for any tax disputes, late penalties, or filing discrepancies arising from user-configured rates.

5. Electronic Signatures & Audits

Cosmos facilitates electronic signatures for business contracts. By signing a contract on our portal:

• You agree that your electronic signature constitutes a legally binding agreement under the ESIGN Act, UETA, eIDAS, and equivalent global electronic signature regulations.
• You consent to the capture of audit trail logs, including IP addresses, timestamps, and cryptographic document hashes.
• Signed documents are immediately locked and rendered immutable. We strongly recommend downloading and archiving local copies for your records.

6. Permitted Use & Platform Safeguards

You agree not to engage in actions that compromise platform integrity or security:

• Reverse engineering, decompiling, or probing application endpoints or database structures.
• Using automated scraping tools or scripts to trigger abusive mail dispatch or PDF compilation loops.
• Uploading malicious files, unauthorized intellectual property, or defamatory material.

7. Limitation of Liability & Disclaimers

To the maximum extent permitted by applicable law, Cosmos Technologies Inc. and its affiliates, officers, employees, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption, arising from your use of or inability to use the platform.

8. Governing Law, Dispute Resolution & Business Details

These Terms shall be governed by and construed in accordance with commercial laws, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved through good-faith negotiation or binding arbitration in accordance with applicable commercial arbitration rules.
